Key responsibilities of the Group Executive Committee
Under the leadership of the Group CEO, the Group Executive Committee has management responsibility for matters concerning the Swiss Re Ltd as a legal entity. Additionally, the Group Executive Committee has management and functional responsibility for the Swiss Re Group's matters. In particular, the Group Executive Committee focuses on (the control of) the implementation of the Group's strategy, as approved by the Board. Within the remits set by the Bylaws, the Group Executive Committee has the authorities and responsibilities set forth in the Group Executive Committee Charter in the areas: management, business matters, policies and guidelines, additional duties, reporting, as well as external representation. The Group Executive Committee as a whole is responsible for managing and mitigating risks (operational and other) within the tolerance specified in the Group risk policy and ensures the definition and maintenance of an appropriate risk management and control system in the Group. The Group Executive Committee is furthermore responsible for any transferable management matter related to the Company or the Swiss Re Group which is neither retained by the Board nor delegated to any other corporate body or individual. The Group Executive Committee discharges its responsibilities as a joint body, except for responsibilities delegated on the basis of applicable governance documents, including the Bylaws, to the Group CEO or other individual Group Executive Committee members, any sub-committee, or sub-group.
